‍Locools is a software-as-a-service (SAAS) platform that helps businesses collect positive reviews and capture negative feedback, turning it into actionable insights. We offer a subscription-based service that provides tools for managing customer feedback and reviews.

3. Eligibility

‍To use Locools, you must be at least 18 years old and capable of entering into a legally binding agreement. By using our Services, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

• Account Creation: To access certain features of our Services, you may need to create an account. You agree to provide accurate, complete, and up-to-date information during the registration process and to update such information as necessary.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.
• Account Termination: We reserve the right to suspend or terminate your account if you violate these Terms or if we determine that your use of the Services poses a risk to us or others.

5. Subscription and Payment

• Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel your subscription before the renewal date. You may cancel your subscription at any time through your account settings.
• Refunds: Subscription fees are non-refundable, except as required by law or at our sole discretion.

6. User Conduct

• Prohibited Activities: You agree not to use the Services for any illegal or unauthorized purpose, including but not limited to violating intellectual property rights, spreading malware, or engaging in fraudulent activities.
• Compliance: You agree to comply with all applicable laws, regulations, and industry standards when using our Services.
• User Content: You are responsible for all content you submit, post, or share through the Services. You grant Locools a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content for the purpose of providing the Services.

7. Intellectual Property

• Locools' Rights: All content, trademarks, logos, and intellectual property related to the Services are the property of Locools or its licensors. You agree not to use, reproduce, or distribute any of Locools' intellectual property without our prior written consent.
• User Rights: You retain ownership of any content you submit to the Services. However, by submitting content, you grant Locools a license to use that content as described above.

8. Limitation of Liability

‍To the fullest extent permitted by law, Locools and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of data, or loss of goodwill, arising out of or in connection with your use of the Services.

‍The Services are provided on an "as is" and "as available" basis. Locools makes no warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Indemnification

‍You agree to indemnify and hold harmless Locools and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in connection with your use of the Services or your violation of these Terms.

11. Termination

• Termination by You: You may terminate your account at any time by following the instructions in your account settings. Upon termination, you will no longer have access to the Services, and any data associated with your account may be deleted.
• Termination by Locools: We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to your violation of these Terms.

12. Governing Law

‍These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles.

13. Dispute Resolution

‍Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of New Zealand. The arbitration shall take place in New Zealand, and the decision of the arbitrator shall be final and binding.

14. Changes to These Terms

‍We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of these Terms. Your continued use of the Services after any changes constitute your acceptance of the new Terms.
